Terms & Conditions – Ooze Digital Payment Solutions

1. Introduction
These Terms and Conditions (“Terms”) govern your use of the Ooze Digital Payment Solutions platform, operated by Tekcell (Pty) Ltd, trading as Ooze Digital Payment Solutions (“Ooze”, “we”, “us”, “our”). Tekcell also trades as Excel Cellular and forms part of the Excel Group of Companies, which includes Supra Investments (Pty) Ltd trading as Excel Stationers and other affiliated businesses.
By accessing or using the Ooze platform (website, apps, POS, or API), you agree to be bound by these Terms.
2. Acceptance of Terms
- By using the Ooze platform, you confirm that you have read, understood, and accepted these Terms.
- If you do not agree, you must stop using the platform immediately.
- Registered users (vendors or customers) agree at the time of registration and upon continued use.
3. Services Covered
Ooze provides digital payment services, including:
- Airtime purchases (Mascom, Orange, BTC)
- Electricity tokens (Botswana Power Corporation and other utilities)
- Mobile money transactions (Orange Money, Mascom MyZaka, BTC Smega)
- Wallet top-ups, vendor float, and related digital services
4. Eligibility & Registration
- You must be at least 18 years old to register.
- Vendors must be KYC-compliant (Know Your Customer).
- You agree to provide accurate, up-to-date information.
5. User Responsibilities
- You are responsible for ensuring that numbers, accounts, or meter details entered are correct. Ooze will not be liable for losses due to customer error.
- You must keep login credentials safe.
- You must not use the platform for fraudulent, unlawful, or prohibited purposes.
6. Payments & Transactions
- All transactions are processed instantly and are generally irreversible once confirmed.
- Services depend on third-party providers (telecoms, utilities, banks). Ooze is not liable for downtime, outages, or errors beyond its control.
7. Refunds & Disputes
- Payments made via Ooze are final and non-refundable.
- Exceptions apply only in cases of system error or failed transaction where funds were debited but no value was delivered.

- Wrong details entered by customers (e.g., incorrect number or meter) are not refundable.
8. Privacy & Data Protection
- Ooze processes personal data as described in our Privacy Policy.
- Tekcell (Pty) Ltd is the data controller for purposes of applicable laws, including the Botswana Data Protection Act 2024 (as amended or replaced from time to time).
- We may share data with regulators such as the Financial Intelligence Unit (FIU) under the Financial Intelligence Act (FIA).

10. Intellectual Property
All content, branding, software, and trademarks on the Ooze platform remain the property of Tekcell (Pty) Ltd and the Excel Group.
11. Limitation of Liability
- Ooze will not be liable for:
- Losses due to customer error (wrong details entered).
- Service interruptions caused by telecoms, utilities, or banking partners.
- Network failures, system outages, or events beyond Ooze’s control.
- Liability is limited to the value of the transaction in question.
12. Amendments
We may update these Terms from time to time. Continued use of the platform after changes means you accept the revised Terms.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Botswana. Any disputes will be subject to the exclusive jurisdiction of the courts of Botswana.
